On-Demand Delivery Addendum

Effective Date: October 01, 2024
This On-Demand Delivery Service Addendum (the “Delivery Addendum”) is incorporated into the Agreement. All capitalized terms used and not defined herein shall have the meanings ascribed to them in the Sign-Up Sheet, this Addendum, or in the Terms of Service between the Parties.

1. PREAMBLE

  • a) IntoDash provides a suite of products, services, and technology solutions to enable businesses to grow, including IntoDash Delivery. Businesses are retails, restaurants, grocery stores, and others that sell products to consumers.
  • b) IntoDash and the Partner wish to enter into a partnership pursuant to the terms set forth in this Addendum. This Addendum applies to all locations owned or operated by the Partner unless excluded in an attached exhibit or mutually agreed in writing.

2. OPERATING PROCEDURES

2.1 IntoDash Responsibilities
  • 2.1.1 Timely and Efficient Delivery Services
    • a) IntoDash is committed to providing delivery services that meet or exceed industry standards for speed and efficiency, ensuring all deliveries are made within estimated time frames.
    • b) IntoDash will utilize optimized routing and scheduling to minimize delays and maximize customer satisfaction.
  • 2.1.2 Communication with Partners
    • a) IntoDash will maintain open and transparent communication with all partners throughout the delivery process.
    • b) Partners will have access to a dedicated support team to address any concerns or inquiries related to their deliveries.
  • 2.1.3 Compliance with Applicable Laws and Regulations
    • a) IntoDash is committed to operating in full compliance with all local, state, and federal laws and regulations governing delivery services.
    • b) IntoDash will conduct regular training for its staff and delivery personnel to ensure compliance with these laws.
  • 2.1.4 Customer Satisfaction and Feedback
    • a) IntoDash will actively seek feedback from partners and customers to continuously improve its delivery services.
    • b) In the event of a service failure or customer dissatisfaction, IntoDash will take immediate action to resolve the issue.
  • 2.1.5 Delivery Personnel Management
    • a) IntoDash will recruit, train, and manage delivery personnel to ensure professional service.
    • b) IntoDash will establish performance metrics for delivery personnel, ensuring accountability and continuous improvement.
2.2 Partner Responsibilities
  • 2.2.1 Provision of Accurate Information
    • a) Partners are required to provide precise and complete information regarding delivery addresses and order details.
    • b) Special instructions must be communicated clearly at the time of order placement.
  • 2.2.2 Compliance with Local Laws and Regulations
    • a) Partners must ensure that all items designated for delivery comply with local, state, and federal laws.
    • b) It is the partner’s responsibility to stay informed about the regulations applicable to their products.
  • 2.2.3 Responsibility for Damages and Issues
    • a) Partners are responsible for any damages or disputes arising from incorrectly provided information.
    • b) They must work with IntoDash to address situations involving product damage or theft.
  • 2.2.4 Communication and Support
    • a) Partners are encouraged to maintain open lines of communication with IntoDash regarding any potential issues.
    • b) In case of emergencies, partners should inform IntoDash promptly.
  • 2.2.5 Training and Best Practices
    • a) Partners are encouraged to familiarize themselves with best practices for order fulfillment.
    • b) IntoDash may provide resources and training to assist partners.

3. PAYMENTS

3.1 Fees
  • 3.1.1 Comprehensive Fee Structure
    • a) IntoDash will provide a detailed fee structure outlining all costs associated with its delivery services.
    • b) Partners will receive clear communication regarding the fees before order confirmation.
    • c) The fee structure may be reviewed periodically, and any adjustments will be communicated in advance.
3.2 Invoices
  • 3.2.1 Invoice Management
    • a) IntoDash will invoice the Partner for the applicable fees as set up in the Partner Account in the Partner Portal. Each invoice must be paid within 3 days of the date IntoDash receives the invoice.
  • 3.2.2 Miss Payment
    • a) If payment is not successfully completed before the due date or if the automatic payment is unsuccessful, a fee of $45 will be charged for the missed payment.
3.3 Tips
  • 3.3.1 Optional Gratitude
    • a) Tips are optional contributions made by customers to delivery personnel for exceptional service.
    • b) 100% of tips will go to drivers.
3.4 Refunds
  • 3.4.1 Cancellation Policy
    • a) The fee for an order canceled after a driver has been dispatched is non-refundable.
3.5 Unattended Orders
  • 3.5.1 Safe Delivery Procedures
    • a) For deliveries left unattended, IntoDash will implement procedures to ensure safe delivery.
    • b) Photos may be taken as proof of delivery for unattended orders.
3.6 Taxes
  • 3.6.1 Tax Applicability
    • a) All fees and charges associated with the delivery services may be subject to applicable taxes.
    • b) Partners and customers will be clearly informed about any applicable taxes during the payment process.

4. LICENSE

IntoDash grants the Partner a non-exclusive, non-transferable license to use the Service solely for their internal business purposes. This license does not grant any rights to resell, distribute, or otherwise exploit the Service without the express written consent of IntoDash.

5. ENTIRE AGREEMENT

This Delivery Addendum constitutes the entire agreement between the Parties regarding the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral, related to such subject matter.
